Ondra Health does not itself practice medicine, provide medical advice, provide nursing or physician services through the website, diagnose any condition, prescribe medications, or dispense prescription drugs.

Any clinical services you may access through or in connection with the Ondra Health platform are provided by independent licensed healthcare providers, and any prescription fulfillment is provided by independent pharmacies. Those providers and pharmacies are solely responsible for the healthcare services and prescription fulfillment they provide.

Your use of the website does not create a doctor-patient relationship, nurse-patient relationship, or any other licensed professional relationship with Ondra Health.

3. Eligibility

You may use the services only if:

• you are at least 18 years old or the age of legal majority in your jurisdiction, whichever is greater
• you are located in a jurisdiction where the services are lawfully available
• you are legally capable of entering into a binding agreement

5. Telehealth and Clinical Services

If you choose to pursue clinical care through services made available in connection with Ondra Health, that care is provided by independent licensed healthcare providers using telehealth or other technology-enabled care models.

Telehealth services may include asynchronous communications such as online questionnaires, secure messaging, image submission, document review, follow-up communications, and other non-real-time interactions, as permitted by applicable law and determined by the provider.

By using such services, you understand and agree that:

• telehealth may not be appropriate for every condition or patient
• a provider may determine that in-person evaluation or treatment is necessary
• there is no guarantee that you will receive a prescription, diagnosis, or treatment recommendation
• providers are solely responsible for their clinical judgment, treatment decisions, and prescriptions
• Ondra Health is not responsible for any medical care, omissions, clinical outcomes, or provider decisions
• Ondra Health does not guarantee any clinical outcomes, treatment results, or weight loss outcomes. Individual results may vary based on medical history, adherence, and provider-directed care.

Where required, informed consent for telemedicine or telehealth will be obtained by the provider and/or the clinical technology platform before care is delivered.

6. Pharmacies and Prescription Fulfillment

Prescription products, if prescribed, are fulfilled by independent pharmacies in accordance with applicable federal and state law.

Ondra Health does not operate a pharmacy, does not manufacture medications, does not fill prescriptions, and does not control pharmacy operations. Ondra Health does not guarantee that any medication will be available, prescribed, compounded, shipped, or suitable for you.

If a provider issues a prescription, fulfillment remains subject to pharmacy review, product availability, applicable law, shipping limitations, and other operational factors.

Prescription products cannot be returned once dispensed, compounded, or shipped, except where required by law.

7. Products and Non-Clinical Offerings

Ondra Health may offer access to non-clinical offerings through the website, including informational materials, wellness-related products, administrative support, platform access, and other services.

All products and services are subject to availability and may be modified, suspended, or discontinued at any time without notice.

Descriptions of products or services on the website are intended for general informational purposes only. We do not warrant that such descriptions are complete, accurate, current, or error-free.

8. Compounded Medications

Some treatments made available through independent providers and pharmacies may involve compounded medications. Compounded medications are not reviewed or approved by the U.S. Food and Drug Administration in the same manner as commercially available approved drug products. Compounded medications may differ in formulation, dosage, route of administration, stability, and inactive ingredients from commercially available products.

Whether a compounded medication is appropriate is determined solely by the prescribing provider and the dispensing pharmacy, subject to applicable law.

Ondra Health makes no representation regarding the safety, effectiveness, suitability, or availability of any compounded medication.

9. User Account and Portal Access

Certain features may require you to create an account or access a third-party patient portal. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You agree to notify us promptly of any unauthorized use of your account or any security breach involving your account or login credentials.

We reserve the right to suspend or terminate access to any account that we believe is being used unlawfully, fraudulently, or in violation of these Terms.

10. User Responsibilities

You agree that you will:

• provide accurate, complete, and current information
• use the website and services only for lawful purposes
• use the website only for your own personal, non-commercial use unless expressly authorized otherwise
• comply with all applicable laws and regulations

12. Subscription, Membership, and Recurring Billing Terms

Ondra Health may offer products or services on a one-time, recurring, bundled, monthly, quarterly, or other billing basis.

If you enroll in a subscription, membership, recurring billing arrangement, or multi-month program, you authorize recurring charges according to the pricing and schedule disclosed at checkout or in your account.

Unless otherwise stated at checkout:

• recurring plans renew automatically until canceled
• you are responsible for canceling before the applicable renewal deadline
• charges already processed are non-refundable except as required by law or expressly stated otherwise
• prescription-related charges may become non-refundable once provider review, pharmacy processing, compounding, dispensing, or shipping has begun

If your program includes prescription treatment, no prescription is guaranteed. If a provider determines that treatment is not clinically appropriate before a prescription is issued and fulfillment begins, any refund policy disclosed at checkout will apply.

If you cancel, your cancellation will apply prospectively only. You remain responsible for all charges incurred before cancellation becomes effective.

13. Refunds and Returns

Because many products and services offered in connection with the platform involve healthcare, pharmacy fulfillment, prescription handling, administrative processing, and time-sensitive coordination, refunds may be limited.

Unless otherwise required by law or expressly stated in writing:

• consultation fees, administrative fees, and platform access fees are non-refundable once the applicable service has begun
• prescription products are non-returnable and non-refundable once prescribed, processed, compounded, dispensed, or shipped
• shipping fees are non-refundable once shipment has occurred
• non-prescription items may be subject to separate return policies disclosed at the time of purchase

Nothing in these Terms limits any rights you may have under applicable consumer protection laws.

14. Communications and Consent to Electronic Communications

By providing your email address, phone number, or other contact information, you consent to receive communications from Ondra Health and, where applicable, from providers, pharmacies, and service partners involved in your requested services.

These communications may include:

• transactional emails
• account notifications
• care coordination messages
• billing notices
• support communications
• SMS or text messages
• reminders and operational updates

You understand that message and data rates may apply for text messages, depending on your mobile carrier plan.

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

You may opt out of marketing communications at any time, but operational and transactional communications may still be sent as needed to provide services or administer your account.

15. Privacy

Your use of the website is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Ondra Health may collect, use, disclose, and retain personal information as described in the Privacy Policy. Health-related and treatment-related information may also be collected, processed, or maintained by independent healthcare providers, pharmacies, and third-party technology platforms under their own privacy practices and legal obligations.

Ondra Health is not responsible for the privacy practices of independent providers, pharmacies, payment processors, or third-party platforms.

16. Third-Party Services and Links

The website may contain links to third-party websites, portals, payment processors, pharmacies, provider groups, software vendors, or other services not owned or controlled by Ondra Health.

We do not endorse and are not responsible for the content, availability, policies, or practices of any third party. Your use of third-party services is subject to that third party's terms, privacy policy, and other applicable policies.

17. Intellectual Property

All content on the website, including text, graphics, logos, button icons, images, videos, design elements, software, and other materials, is owned by or licensed to Ondra Health and is protected by intellectual property laws.

20. Limitation of Liability

To the fullest extent permitted by law, Ondra Health Inc., its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to your use of or inability to use the website, content, products, or services.

To the fullest extent permitted by law, Ondra Health shall not be liable for any claims arising out of or related to medical care, clinical decisions, prescriptions, treatment outcomes, pharmacy fulfillment, shipping delays, or the acts or omissions of any independent provider, pharmacy, or third party.

To the extent any liability is not otherwise excluded, Ondra Health's total liability to you for all claims arising out of or relating to these Terms or your use of the services shall not exceed the greater of: (A) the amount you paid to Ondra Health in the six (6) months before the event giving rise to the claim, or (B) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

21. Indemnification

You agree to indemnify, defend, and hold harmless Ondra Health Inc. and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your use of the website or services
• your violation of these Terms
• your violation of any law or regulation
• your infringement of any third-party rights
• any information or content you submit through the website

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with that defense.

24. Dispute Resolution and Binding Arbitration

A. Agreement to Arbitrate
You and Ondra Health agree that, except for the limited exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms, the website, the services, any product, or the relationship between you and Ondra Health shall be resolved by binding individual arbitration, and not in court. This arbitration agreement is governed by the Federal Arbitration Act.

B. Informal Resolution First
Before initiating arbitration, the party asserting the dispute must first send written notice describing the claim and the requested resolution. Notices to Ondra Health must be sent to:

The parties agree to attempt to resolve the dispute informally for at least 30 days before filing arbitration.

C. Arbitration Rules
If the dispute is not resolved informally, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, as modified by these Terms.

D. Individual Basis Only
All disputes must be brought on an individual basis only. You and Ondra Health waive any right to participate in a class action, class arbitration, collective action, private attorney general action, or other representative proceeding.

E. Exceptions
This arbitration agreement does not prevent either party from: bringing an individual action in small claims court if eligible; seeking temporary or preliminary injunctive relief in court; or bringing claims related to intellectual property infringement or misuse.

F. Arbitration Location and Format
Unless otherwise required by applicable law, arbitration may be conducted by video conference, telephonically, through written submissions, or in a mutually agreed location. If an in-person hearing is required, it shall take place in Los Angeles County, California, unless the arbitrator determines another location is required by law or fairness.

G. Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to care@ondra.health within 30 days of first accepting these Terms. Your notice must include your full name, mailing address, email address associated with your account, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, the class action waiver to the fullest extent permitted by law will still apply unless prohibited by law.

25. Class Action Waiver

To the fullest extent permitted by law, you and Ondra Health agree that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

26. Time Limit for Claims

To the fullest extent permitted by law, any claim arising out of or relating to these Terms or your use of the website or services must be brought within one (1) year after the event giving rise to the claim, or such claim is permanently barred, unless applicable law requires a longer period.

27. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

If the arbitration provision is found unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and resolved in a court of competent jurisdiction, and the remainder of the arbitration provision shall remain enforceable.

28. Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

29. No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

30. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Ondra Health regarding your use of the website and services and supersede all prior or contemporaneous communications, understandings, and agreements relating to that subject matter.

31. DMCA / Copyright Complaints

If you believe that content available on the website infringes your copyright, you may submit a notice to us containing the following:

• your physical or electronic signature
• identification of the copyrighted work claimed to have been infringed
• identification of the allegedly infringing material and information reasonably sufficient to locate it
• your contact information
• a statement that you have a good faith belief the disputed use is not authorized
• a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner
